StarSeed Mystical Market Vendor Agreement

This Vendor Agreement (“Agreement”) is entered into by and between Leigh LaRue/StarSeed Mystical Market (“Market Organizer” or “Organizer”) and the undersigned Vendor (“Vendor”) for participation in The StarSeed Mystical Market.

1. EVENT DETAILS

   - Event Name: StarSeed  Mystical Market

   - Location: Float the River Brewery at 931 Main St. Liberty Hill, TX 78642

   - Date(s): October 18th, 2025

   - Time: 6-9pm 

   - Three (3) hours per market are guaranteed

2. PAYMENT TERMS

   - Booth fees are due in full at the time of registration to secure the Vendor’s space.

   - Fees are non-refundable unless otherwise stated in this Agreement.

   - Booth Fee: $60 per individual market (unless otherwise specifically stated)

3. VENDOR RESPONSIBILITIES

   - Vendor must provide their own tables, chairs, tents, displays, signage, and any other necessary equipment.

   - Electricity and lighting are NOT guaranteed. Vendors must bring their own battery-powered lighting if needed and an extension cord in case there is electricity to plug into.

   - Vendor is responsible for setting up and breaking down their booth within the designated time frame provided by the Market Organizer. Please arrive to market/event destination one hour early for this purpose.

   - Vendor must comply with all local laws, permits, and regulations applicable to their products or services.

4. INCLEMENT WEATHER & BACKUP PLAN

   - This is a rain-or-shine event. In the case of rain or inclement weather, the Market Organizer may relocate the event to an indoor location, if available, instead of canceling.

   - If extreme or dangerous weather (e.g., lightning, high winds, flooding) makes the event unsafe and no indoor backup is available, the Market Organizer reserves the right to cancel or reschedule the market.

   - If the event is canceled by the Market Organizer due to unsafe conditions and no backup location is possible, Vendor fees may be credited toward a future market at the Organizer’s discretion.

-In the event of unforeseen (non-weather) occurrences or cancellations, Market Organizer will offer a future equivalent market event in its place. Essentially, Vendor will receive an equal credit for a future market.

   - No refunds will be issued for Vendor cancellations.

5. LIABILITY & INDEMNIFICATION

   - The Market Organizer is not responsible for any loss, theft, damage, or injury to Vendor’s property, products, or personnel.

   - Vendor assumes all responsibility for any damage or injury caused by their products, equipment, or personnel.

   - Vendor agrees to indemnify and hold harmless the Market Organizer, its staff, and affiliates from any and all claims, damages, or expenses arising from Vendor’s participation in the market.

6. CONDUCT & PRESENTATION

   - Vendors must maintain a professional and respectful presence at all times.

   - Offensive, unsafe, or illegal behavior will result in immediate removal without refund.

   - Vendors must keep their booth area clean and free of hazards.

7. NO-COMPETE CLAUSE

   - Vendor agrees not to organize, promote, or participate in any event substantially similar in concept, branding, or theme to StarSeed Mystical Market within a 40-mile radius of the market location for a period of sixty (60) days before and after the market date, without written consent from the Market Organizer.

   - This clause is intended to protect the uniqueness, marketing investment, and goodwill of StarSeed Mystical Market, while still allowing Vendors to participate in general markets, fairs, or unrelated events.

8. AGREEMENT ACKNOWLEDGEMENT

   - By completing this purchase, VENDOR agrees to all terms and conditions above.
